Denbury believes that responsible and sustainable governance is essential to fulfilling our obligations to our stakeholders and operating as a good corporate citizen.

The manner in which we conduct ourselves and our business operations directly affects our ability to sustain our business and operate responsibly. Our Board of Directors (“Board”) and management are highly focused on implementing corporate governance policies and practices that uphold our core values, align with our corporate governance commitments and support our business sustainability.

Independent and diverse Board

Compensation tied to ESG

Board oversight

Seven of eight directors are independent, including the Chairman of the Board and all Committee members. 13% of our Board members are ethnically diverse and 25% are underrepresented gender identities, including the Chairperson of the Sustainability & Governance Committee.
Specific ESG metrics, including metrics tied to health, safety and environmental goals and a direct Scope 1 and 2 emissions reduction target, are included in employee’s (and executives) annual incentive bonus plan.
Each of our Board Committees reviews and assesses risk-related matters within the scope of its responsibilities. The Sustainability and Governance Committee oversees our risks with respect to our sustainability strategies, policies, position statements, practices, procedures and targets, along with risks related to our corporate governance matters

Corporate Governance

The business, property and affairs of Denbury are managed by our Chief Executive Officer under the direction of our Board. The Board has responsibility for establishing broad corporate guidelines and for overall performance and direction of our company, but is not involved in day-to-day operations. Members of the Board are informed of Denbury’s business by participating in Board and committee meetings, reviewing analyses and reports sent to them regularly, and through discussions with our Chief Executive Officer and other officers.
