The Reserves and Health Safety and Environmental Committee is comprised of four independent directors. The primary purpose of the Reserves and HSE Committee is to provide assistance to the Board in discharging its oversight responsibilities relating to the Company's independent reserves engineers, information regarding the Company's reserves and the Company’s health, safety and environmental policies, practices and procedures. The Reserves and HSE Committee's duties and responsibilities, which are discussed in detail in its charter, include:

  • evaluating and recommending for selection by the Board, the Company's independent reserves engineer;
  • reviewing and monitoring the Company's independent reserves engineer's independence;
  • reviewing with management and the independent reserves engineer the calculation and reporting of the Company's oil and natural gas reserves, and CO 2 and helium reserves;
  • reviewing with management the Company’s health, safety and environmental policies, practices and procedures and assessments of high risk areas of such;
  • reviewing the Company's strategy and initiatives regarding corporate social responsibility activities; and
  • reviewing the Company's corporate responsibility report prior to publication.
